ScientiMax Learning Programs Inc.

These Terms and Conditions (“Terms”) govern access to and use of the website, educational services, courses, micro-credentials, memberships, learning resources, assessments, certifications, digital products, and related offerings provided by ScientiMax Learning Programs Inc. (“ScientiMax”, “we”, “us”, or “our”).
By accessing our website, creating an account, purchasing a product or service, enrolling in a course or program, or otherwise using ScientiMax services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use ScientiMax services.
1. Eligibility
Users must be at least nineteen (19) years of age or the age of majority in their jurisdiction of residence, whichever is greater, and must be capable of entering into legally binding agreements.
By using ScientiMax services, you represent and warrant that you meet these eligibility requirements and possess the legal capacity to enter into these Terms.
2. Educational Purpose Only
ScientiMax provides educational and training services for informational and educational purposes only.
Unless expressly stated in writing:
- Completion of a course does not guarantee employment;
- Completion of a course does not guarantee admission into any educational institution;
- Completion of a course does not confer any professional license, registration, designation, certification, regulatory approval, or legal authorization to practice a profession;
- Completion of a course does not guarantee success on any examination, licensing process, application, or assessment.
3. Accounts and Registration
Users may be required to create an account to access certain services.
Users are responsible for:
- Maintaining the confidentiality of login credentials;
- Restricting unauthorized access to their account;
- Providing accurate information;
- Updating information when required; and
- All activities occurring under their account.
ScientiMax reserves the right to suspend, restrict, or terminate accounts where information is inaccurate, misleading, fraudulent, or otherwise violates these Terms.
4. Fees and Payments
All fees are stated in Canadian dollars unless otherwise indicated.
Payment must be received before access to paid services is granted unless otherwise agreed in writing.
Refunds are governed by the ScientiMax Refund Policy available on the ScientiMax website.
Applicable taxes may be charged where required by law.
5. Ownership of Content
All educational materials, videos, slides, manuals, assessments, examinations, quizzes, templates, documents, recordings, graphics, designs, course structures, curriculum content, trademarks, logos, website content, and related materials are owned by ScientiMax or its licensors and are protected by copyright, trademark, and other intellectual property laws.
No ownership rights are transferred to students, users, institutions, employers, or third parties.
6. Limited License
Upon purchase, ScientiMax grants the purchaser a limited, non-exclusive, non-transferable, revocable license to access purchased content solely for personal educational use.
No institutional, commercial, resale, redistribution, training, teaching, sublicensing, or competitive use rights are granted unless expressly authorized in writing by ScientiMax.
7. Prohibited Uses
Users shall not:
- Copy course content;
- Reproduce course materials;
- Record videos, presentations, lessons, assessments, or demonstrations;
- Download content except where expressly permitted;
- Share accounts or credentials;
- Distribute materials to third parties;
- Sell, sublicense, rent, lease, or transfer content;
- Upload ScientiMax content to websites, LMS platforms, AI systems, repositories, social media platforms, or public databases;
- Use ScientiMax content to create competing courses, educational programs, training materials, curriculum packages, assessments, or commercial educational products;
- Use ScientiMax content, materials, assessments, recordings, documents, educational resources, or other proprietary materials to train, fine-tune, develop, evaluate, improve, test, or support any artificial intelligence, machine learning model, large language model, automated system, or similar technology without prior written authorization from ScientiMax;
- Reverse engineer, scrape, extract, or systematically collect ScientiMax content;
- Circumvent technological protection measures or access controls; or
- Misrepresent identity or affiliation.
8. Monitoring and Security
ScientiMax reserves the right to monitor platform activity, account usage, login activity, IP addresses, device identifiers, course access records, assessment activity, downloads, and related usage information for purposes including:
- Security;
- Academic integrity;
- Intellectual property protection;
- Fraud prevention;
- Compliance monitoring; and
- Operational administration.
Users acknowledge that such monitoring may be used to investigate suspected violations of these Terms.
ScientiMax may utilize digital watermarking, user-identification technologies, access logging, activity monitoring, content tracking mechanisms, and related security measures to protect intellectual property, investigate suspected violations of these Terms, support academic integrity, and maintain platform security.
9. Academic Integrity
Students must complete assessments honestly and independently unless collaboration is expressly authorized.
ScientiMax may invalidate assessments, withhold grades, revoke certificates, suspend access, terminate enrollment, or take other appropriate action where academic misconduct is suspected.
10. Certificates and Records of Completion
Certificates, micro-credentials, digital badges, records of completion, and related recognitions may be issued only when program requirements are satisfied.
ScientiMax reserves the right to withhold, suspend, revoke, correct, or invalidate certificates where fraud, misconduct, policy violations, administrative errors, or other legitimate concerns exist.
11. Intellectual Property Enforcement
Unauthorized copying, recording, distribution, reproduction, disclosure, publication, or commercial use of ScientiMax content constitutes a material breach of these Terms.
ScientiMax reserves all rights and remedies available under contract law, copyright law, trademark law, common law, equity, and applicable legislation.
Where appropriate, ScientiMax may pursue:
- Injunctive relief;
- Recovery of actual damages;
- Recovery of statutory damages where available;
- Recovery of investigation and enforcement costs where permitted by law;
- Account suspension or termination; and
- Any other remedy available under applicable law.
Users acknowledge that unauthorized use, disclosure, reproduction, distribution, or commercial exploitation of ScientiMax intellectual property may cause irreparable harm for which monetary damages alone may be an inadequate remedy.
Accordingly, ScientiMax shall be entitled to seek injunctive relief, equitable relief, or other appropriate remedies in addition to any monetary damages or legal remedies available under applicable law.
12. Third-Party Services
ScientiMax may utilize third-party providers including payment processors, learning management systems, video conferencing platforms, cloud services, website providers, hosting services, and related technologies.
ScientiMax is not responsible for interruptions, outages, errors, delays, or failures caused by third-party providers.
13. Force Majeure
ScientiMax shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to internet outages, third-party platform failures, cyberattacks, natural disasters, pandemics, epidemics, governmental actions, labour disruptions, utility failures, or other events of force majeure.
Where a force majeure event materially affects the delivery of a service, ScientiMax will take reasonable steps to resume services within a reasonable time where commercially practicable.
14. Disclaimer of Warranties
Services are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, ScientiMax disclaims all warranties, conditions, representations, and guarantees, whether express, implied, statutory, or otherwise.
15. Limitation of Liability
To the fullest extent permitted by law, ScientiMax shall not be liable for indirect, incidental, consequential, punitive, exemplary, or special damages.
ScientiMax’s total liability arising from any claim shall not exceed the amount actually paid by the user for the specific service giving rise to the claim.
Nothing in this section limits ScientiMax’s liability for gross negligence, fraud, wilful misconduct, or any liability that cannot be excluded or limited under applicable law.
16. Indemnification
Users agree to indemnify and hold harmless ScientiMax, its directors, officers, employees, contractors, instructors, affiliates, licensors, successors, and representatives from claims, losses, liabilities, damages, costs, and expenses directly arising from:
- Intentional misconduct or fraud by the user;
- Unauthorized use, copying, distribution, or commercial exploitation of ScientiMax intellectual property; or
- Wilful violation of these Terms causing direct harm to ScientiMax or a third party.
This indemnification does not apply to claims arising from ScientiMax’s own negligence, breach of contract, or failure to comply with applicable law.
Nothing in this section limits any rights a consumer may have under applicable consumer protection legislation.
17. Suspension and Termination
ScientiMax may suspend, restrict, or terminate access without notice where a user:
- Violates these Terms;
- Violates ScientiMax policies;
- Engages in academic misconduct;
- Engages in fraudulent, abusive, unlawful, or disruptive conduct; or
- Participates in unauthorized content sharing or distribution.
No refund shall be provided where access is terminated due to a violation of these Terms unless required by applicable law.
18. Privacy
Collection, use, disclosure, retention, and protection of personal information are governed by the ScientiMax Privacy Policy available on the ScientiMax website.
19. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Province of British Columbia and the applicable laws of Canada.
20. Dispute Resolution
The parties agree to attempt to resolve disputes through good-faith discussions before commencing legal proceedings.
Any dispute not resolved through good-faith discussions shall be subject to the exclusive jurisdiction of the courts of British Columbia unless otherwise required by applicable law.
Nothing in this section limits rights that cannot legally be waived under applicable law.
21. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect.
22. Entire Agreement
These Terms, together with the ScientiMax Refund Policy and Privacy Policy, constitute the entire agreement between the parties with respect to access to and use of ScientiMax services and supersede all prior representations, discussions, negotiations, and agreements relating to the same subject matter.
23. Waiver
Failure by ScientiMax to enforce any provision of these Terms on any occasion shall not constitute a waiver of ScientiMax’s right to enforce that provision or any other provision on any future occasion.
24. Changes to Terms
ScientiMax may modify these Terms from time to time.
Updated versions will be posted on the ScientiMax website and become effective on the date specified in the revised version.
The version in effect on the date of the relevant transaction shall govern that transaction unless otherwise required by law.
